Club Rules.
1. NAME
The club shall be called CARDIGAN WELSH CORGI CLUB (hereinafter called the
club)
2. OBJECTS
Its objects shall be; To preserve, protect and promote the Cardigan Welsh
Corgi, a vulnerable native breed. To promote the ethical breeding and
ownership of healthy and fit for purpose dogs in accordance with the RKC breed
standard. To support interest and knowledge in the breed by fostering an
inclusive and open community. To support research and breed welfare.
3. CLUB STRUCTURE
The club shall consist of an unlimited number of members. The membership
year shall be 1st January to 31st December.
4. COMMITTEE AND Club Governance
The management of the club shall be in the hands of the following officers of
the club; President, Chair, Vice Chair, Secretary and Treasurer and a
committee of 10.
Officers and Committee members shall have full voting rights at committee
meetings. Should any officer or committee member have a vested interest in
any item under discussion they must declare a conflict of interest and
withdraw from the meeting while discussion and voting takes place.
The Chair shall have a casting vote in the event of a tied vote.
Meetings of the committee shall be held as often as deemed necessary, but
at least four times per year. The meetings shall be called by the secretary in
collaboration with the chair, giving at least 10 days notice. The agenda to be
made available to attendees no later than 4 days prior to the meeting.
A quorum for meetings shall consist of two officers and four committee
members.
The committee may deal with and dispose of any urgent matter that may arise
that is not provided for in these rules.
In the event of an emergency a committee may be formed without notice,
consisting of two officers and at least three committee members with the
power to deal with the emergency only. Full details must be approved and
minuted at the following committee meeting.
The committee may create sub-committees or co-opt individual members
for specific roles, responsible to, and reporting to the main committee for
the purpose of transacting club business. All members in sub-committees
meetings shall have voting rights.
All sub-committees shall automatically cease at the general meeting
following their appointment but shall be eligible for reappointment.
Members of the same family or household may not be elected to office or onto
committee if any other member of their family or household hold office or
serve on committee.
Minutes of committee meetings shall be available for members on the club
website once approved at the following committee meeting. The minutes
will, when necessary be redacted in accordance with the CWCC GDPR &
privacy policies and other relevant legislation.
No person whilst an undischarged bankrupt may serve on the committee
of, or hold any other office or appointment within a Royal Kennel Club
registered club.
5. ELECTION OF MEMBERS & CONDITIONS OF MEMBERSHIP
The membership year shall run from 1st January to 31st December.
Candidates for membership shall be conditionally accepted on payment of their
annual subscription fee, and their election confirmed by a majority vote at the first
committee meeting following their application.
New members are not permitted to vote within the first 3 months of joining.
The committee reserves the right to refuse a candidate’s application; their decision
is final. Members are bound by the club rules and code of ethics, and must comply
with all club policies.
Each member shall be entitled to one vote at all club general meetings following
confirmation of their election by the committee.
Once a member has been accepted for membership, and providing they
continue to pay their membership subscriptions by the deadline, they cannot
be refused renewal of membership.
Members must advise the secretary of change of name or contact details at their
earliest convenience.
No member whose subscription is unpaid is entitled to any of the privileges of
membership and if the member shall fail to pay outstanding subscriptions by 31st
January their name shall be automatically erased from the register. Acceptance
back on the register will be dependent upon a new application.
Any member may resign from the club by notifying the secretary in writing or by
email. Their resignation comes into effect on receipt of that communication by the
secretary.
On ceasing to be a member of the club, individuals forfeit all claims upon the club,
its members, property and funds. They should return any property of the club
within one month.
6. MEMBERS LIST
An up to date list of members and their addresses,, must be maintained and, if so
requested, the list must be made available for inspection by the Royal Kennel
Club and members of the club. A declaration of the number of members of the
club must be made with annual returns. This list shall be made available to
members on the club website. Members may opt out of this if they wish.
7. VOTING RIGHTS
Voting shall be by secret ballot, online. The committee may at its discretion
implement other voting methods such as proxy or postal, and will advise members
as and when these methods of voting may be used.
8. CLUB PROPERTY
The property of the club shall be vested in the committee. In the event of the
club ceasing to exist, a final general meeting shall be called to decide the
disposal of the society’s assets and the outcome of the meeting notified to the
Royal Kennel Club.
(If a registered club is wound up or ceases to be a registered society under Royal
Kennel Club Regulations. A final statement of accounts with a record of the
disposal of the property of the club shall be forwarded to the Royal Kennel Club
within six months and the persons named as officers and committee of the society
will be held responsible by the Royal Kennel Club for the proper winding up of the
society).
9. CLUB ACCOUNT
A banking account or accounts shall be held in the name of the club into which all
revenue of the club shall be paid, and from which, withdrawal shall only be made
on the approval of two nominated signatories.
No financial liabilities shall be incurred by any member of the club, or
extraordinary payments made without permission of the committee.
Accounts must be certified by a qualified accountant or two unqualified individuals
with accountancy experience who are independent of the committee.
The accounts will be certified annually and presented to the members at the
Annual General Meeting. The certified accounts must be made available to
members 14 days prior to the Annual General Meeting.
10. SUBSCRIPTIONS
The annual subscription shall be such amount as agreed by members in general
meeting and notified to the Royal Kennel Club. No member whose subscription
is unpaid is entitled to any of the privileges of membership and if the member
should fail to pay outstanding subscriptions by thirty one days, their name shall
be automatically erased from the register. Acceptance back on the register will
be dependent upon a new application.
11. EXPULSION OF MEMBERS
Any member who shall be disqualified under Royal Kennel Club Rule 11.j.(5)
and/or Royal Kennel Club Rule 11.j.(9) shall ipso facto cease to be a member of
the society.
If the conduct of any member shall, in the opinion of the committee of the club, be
injurious to the character or interests of the club, the committee of the club, may,
at a meeting the notice convening which includes as an object the consideration
go the conduct of the member, determine that a Special General Meeting of the
club shall be called for the purpose of passing a resolution to expel them.
Notice of the Special General Meeting shall be sent to the accused member,
giving particulars of the complaint and advising the place, date and hour of the
meeting that they may attend and offer an explanation. If at the meeting, a
resolution to expel is passed by a two thirds majority of the members present and
voting, their name shall forthwith be erased from the list of members, and they
shall thereupon cease for all purpose to be a member of the society except that
they may within ten calendar months from the date of such meeting appeal to the
Royal Kennel Cub and subject to such condition as the Royal Kennel Club may
impose.
If the society expels any member for discreditable conduct in connection with dogs,
dogs shows, trials or competitions, the society must report the matter in writing to
the Royal Kennel Club within seven days and supply any particulars required.
12. FINANCIAL YEAR
The financial year of the club shall be from 1st January to 31st December
13. ANNUAL GENERAL MEETING (AGM)
The AGM shall be held no later than 31st March. The quorum for the meeting is
twenty. Its purpose is;
- to receive the report of the committee
- to receive the financial report
- to elect officers, committee members and auditors.
- to discuss and vote upon any resolution duly placed on the agenda
No other business shall be transacted at the meeting with the exception of routine
matters, or those, which in the opinion of the Chair are urgent.
Voting shall be by secret ballot.
Members shall receive notification of general meetings via the club publication,
web site or email
Notice of A.G.M will be posted in the club January publication and on the club web
site. No less than forty two days notice of the meeting will be given to members.
Proposed and seconded nominations for officers and committee must be received
by the Secretary by close of business no later than 28 days prior to the meeting.
Resolutions must be received by the Secretary by no later than 28 days prior to the
meeting.
The meeting agenda will be issued via the club web site no later than seven days
prior to the meeting.
Minutes of AGMs shall be available for members on the club website prior to
approval at the next AGM. The minutes will, if necessary be redacted in
accordance with the CWCC GDPR & privacy policies and other relevant
legislation.
14. SPECIAL GENERAL MEETING (SGM)
A SGM shall be summoned by the secretary if twenty members send a signed
requisition stating the subject to be discussed and voted upon. The committee
of the society is also empowered to requisition a SGM with a majority vote. No
business other than that detailed on the agenda can be discussed at a SGM.
Members shall receive at least 28 days notice of a SGM, issued by email and on
the club website.
Voting shall be by secret ballot.
The quorum for a SGM is twenty.
Minutes of SGMs shall be available for members on the club website once
approved. The minutes will, if necessary be redacted in accordance with the
CWCC GDPR & privacy policies and other relevant legislation.
15. AMENDMENTS TO RULES
The rules of the club may not be altered except at a general meeting or a SGM,
notice for which contains specific proposals to amend the rules. Any proposed
alteration to the rules may not be brought into effect until the Royal Kennel Club
has been advised and approved the alteration, and those present at the the
following A.G.M have approved the minutes correct.
New rules or amendments introduced specifically to meet Royal Kennel Club
requirements shall be adopted immediately and be included in the clubs
constitution with effect from the clubs A.G.M.
16.ANNUAL RETURNS TO THE ROYAL KENNEL CLUB.
The officers acknowledge that during the month of January each year, the
maintenance of title fee will be forwarded to the Royal Kennel Club by the
secretary for continuance of the registration and that by 31st July each year, other
returns, as stipulated in the Royal Kennel Club Regulations for the registration and
maintenance of title of societies/breed councils and the affiliation of agricultural
societies made municipal authorities shall be forwarded to the Royal Kennel Club.
The officers also acknowledge their duty to inform the Royal Kennel Club of any
change of secretary of the society which may occur during the course of the year.
17. ROYAL KENNEL CLUB FINAL AUTHORITY.
The Royal Kennel Club is the final authority for interpreting the rules of the society
in all cases relating to canine or society matters.
18. FEDERATION
The club shall not join any federation of societies or clubs.
